Organizer Terms

B2B contract between Pistaclub and event organizers. Riders do not see this document — riders contract with the organizer directly under the organizer's own event terms and waivers.

These Organizer Terms ("Organizer Terms") govern the relationship between Pistaclub (Pistaclub s.r.o., pending incorporation, "Pistaclub", "we", "us") and any legal person or natural person acting in a commercial capacity ("Organizer", "you") who applies to list, promote, or accept bookings for motorsport trackday events through the Pistaclub platform.

Together with the Data Processing Agreement (DPA) and the general Terms of Service, these Organizer Terms form the entire agreement between you and Pistaclub in respect of your use of the platform as an event organizer. By ticking "I accept the Organizer Terms and DPA" during onboarding, or by continuing to operate events on Pistaclub after a version bump, you agree to be bound by them.

1. Definitions

  • Event — a trackday, track experience, race school, or similar motorsport gathering listed by you on the platform.
  • Rider — an end user who registers for an Event through the platform (in-app booking) or via your external booking channel referenced from the platform.
  • Booking — a rider's registration for a specific Event, whether placed in-app or via your external channel.
  • Platform Fee — the platform commission Pistaclub deducts from in-app card payments you collect: 2.0% on the free plan and 0.5% on the paid plan (see §4 and §16.2).
  • Connected Account — your Stripe Connect Standard account, connected to Pistaclub for the sole purpose of receiving rider payments as merchant of record.

2. Eligibility & approval

To operate as an Organizer on Pistaclub, you must:

  • Be a legal person or a natural person acting in a commercial capacity in the jurisdiction where your Events are held.
  • Have the legal capacity and any local authorisations required to run motorsport events (motorsport federation permit where applicable, venue rental agreement, participant liability regime, etc.).
  • Hold and maintain public liability insurance and, where applicable, participant accident insurance in amounts appropriate for the Events you run (see §15).
  • Complete the onboarding steps we require, including identity verification for Stripe Connect if you elect card payments.

Approval is at our sole discretion. We may decline, suspend, or revoke Organizer status at any time on notice — see §13.

3. Organizer content & IP license

You retain all rights in Event descriptions, images, schedules, pricing, policies, waiver text, and any other content you upload ("Organizer Content"). You grant Pistaclub a worldwide, non-exclusive, royalty-free licence to host, cache, reproduce, translate, format, and display Organizer Content within the platform, in transactional emails to your riders, and in reasonable marketing of your Events on Pistaclub-controlled surfaces. You warrant that you have the necessary rights in all Organizer Content and that its publication does not infringe any third party's rights.

Automated translation. Pistaclub may translate Organizer Content into languages other than the one you authored it in, using machine translation, and serve those translations to riders. Translations are provided as-is and are always labelled as automated. The original-language text is the authoritative version. Certain fields (rider requirements, motorcycle requirements, refund/cancellation policy, and organizer policy documents) are excluded from automatic translation and rendered in the source language only.

4. Commercial terms

Platform Fee. For Events where you elect in-app card payments (see §5), Pistaclub deducts a Platform Fee from the rider's gross payment: 2.0% on the free plan and 0.5% on the paid plan. The same rates apply to multi-event packages and to photographs you sell through the platform. The fee is collected as a Stripe application fee at the moment of the rider's successful payment and deducted from the payout to your Connected Account. This fee is in addition to the payment-processing fees Stripe charges you on your Connected Account, which are a matter between you and Stripe. There is no fee on Events priced at zero, on external-URL bookings, or on bank-transfer bookings settled directly between you and the rider, because we do not process those funds. See §16 for the plan terms and for how the rate applicable to a transaction is fixed.

Currency & VAT. All Platform Fee amounts are calculated in the currency of the rider's payment. Where VAT applies to the Platform Fee, we account for it via the Czech One-Stop-Shop (OSS) regime and issue you an appropriate invoice. You are solely responsible for VAT on the Event ticket itself, on rider payments received to your Connected Account or bank account, and for issuing tax documents to riders where local law requires.

Fee changes. We may change the Platform Fee on 60 days' written notice by email to your registered address and a notice in the organizer dashboard. Continued use after the notice period constitutes acceptance.

5. Payments & payouts

Stripe Connect — merchant of record. Where you enable in-app card payments, rider payments are collected via a Stripe destination charge to your Connected Account. You are the merchant of record: the payment is between the rider and you. Pistaclub acts solely as Stripe's technical facilitator; we neither hold rider funds nor act as an e-money or payment institution. Payouts are subject to Stripe's Connected Account Agreement and Stripe's payout schedule.

Bank transfers. Where you enable bank-transfer bookings, the rider transfers funds directly to the bank account you supply, and you confirm receipt manually in your organizer dashboard. Pistaclub does not receive, hold, or reconcile these funds. Any dispute over receipt, amount, timing, or refund of a bank transfer is between you and the rider.

Chargebacks & disputes. Chargeback fees, dispute losses, and negative-balance recoveries against your Connected Account are your responsibility. Pistaclub may withhold or reverse Platform Fee amounts against verified chargebacks at Stripe's direction. We do not mediate chargeback disputes between you and the rider — those are resolved through Stripe's dispute process.

6. Refunds

Your policy is primary. Your published Event cancellation and refund policy governs the rider's contractual right to a refund. You must publish that policy on the Event listing before accepting bookings, and it must comply with applicable consumer law in the Event's jurisdiction (including, where applicable, the EU Consumer Rights Directive exemption for leisure services tied to a specific date, Art. 16(l)).

Platform mechanics. Where an Event was paid in-app, the platform provides a one-click refund tool that issues a Stripe refund from your Connected Account (with proportional Platform Fee unwind for full refunds). Where an Event was paid by bank transfer, the refund is your operational responsibility — Pistaclub can only mark the booking as refunded in-app.

No mediation. Pistaclub does not mediate refund disputes between you and a rider. If the rider disagrees with your policy or your application of it, their remedies lie with their card issuer, Stripe, the competent consumer authority, or a court — not with Pistaclub.

7. Data protection

The processing of rider personal data as between you and Pistaclub is governed by our Data Processing Agreement (DPA), which forms an integral part of these Organizer Terms and satisfies GDPR Article 28. Where a conflict exists between these Organizer Terms and the DPA on any matter of personal-data processing, the DPA prevails.

8. Rider data — controller responsibilities

You are the controller of rider personal data disclosed to you through Pistaclub for the purpose of operating your Event (registration form answers, emergency contact, medical information voluntarily shared per booking, and any additional information the rider provides through in-app chat or offline). Pistaclub is the processor of that data while it is on the platform, on your behalf, per the DPA.

As controller you undertake to:

  • Use rider data solely for the purpose of the Event and directly related communications (safety briefing, changes, cancellations, post-event follow-up).
  • Not to sell, share for advertising, or otherwise re-purpose rider data without a fresh, lawful basis obtained by you directly from the rider.
  • Apply appropriate technical and organisational security measures — encryption at rest for downloaded rider data, restricted access to your team only.
  • Honour rider rights of access, rectification, erasure, and objection within the statutory timeframes; forward Pistaclub any request that requires a platform-side action.
  • Delete rider data no later than the retention period stated in the DPA (default: 24 months after the Event date, unless a longer legal retention is required, e.g. accounting).
  • Notify Pistaclub without undue delay and in any event within 48 hours of becoming aware of any personal-data breach affecting rider data received via the platform (GDPR Art. 33 assist obligation).

Indemnity. You indemnify Pistaclub in full for any claim, fine, investigation, or damages award brought by a rider, supervisory authority, or third party arising from your misuse of rider personal data received through the platform.

9. Event operation — sole responsibility

You are solely responsible for every aspect of Event delivery, including but not limited to:

  • Circuit hire, marshalling, signalling, and pit-lane management;
  • On-track and paddock safety, including barrier placement, run-off inspection, and session-by-session risk assessment;
  • Medical cover — presence of a doctor, ambulance, and evacuation plan appropriate to the discipline;
  • Rider licence, medical, and skill checks where the discipline or venue requires them;
  • Compliance with local motorsport authority rules, noise regulations, insurance obligations, and any COVID-style public-health measures in force;
  • Weather calls, red flags, session cancellations, and paddock evacuation.

Pistaclub is not a co-organizer, promoter, safety supervisor, or motorsport federation. Nothing on the platform (event listings, ratings, badges, editorial guides, safety UI copy) constitutes an endorsement of any Event, warranty of safety, or approval by us of the Event's fitness for any rider.

10. Waiver enforceability

Pistaclub provides an optional in-app rider waiver editor and a neutral template. Any waiver you publish through the platform is your document, drafted or adapted by you, and governed by the law of the Event's country. Pistaclub does not review, validate, or warrant the enforceability of any waiver. You are responsible for consulting your own legal counsel on the waiver's suitability. Where the platform surfaces red-flag language warnings (e.g. references to gross negligence in a jurisdiction that does not permit waiving it), those warnings are informational only and do not constitute legal advice.

11. Prohibited behaviour

You may not use the platform to:

  • List Events that do not exist or that you do not have the right to run;
  • Discriminate against riders on the basis of protected characteristics under applicable law;
  • Collect personal data from riders in excess of what the Event operationally requires (data minimisation);
  • Publish safety-critical statements that you know or ought to know are false or misleading (e.g. claiming a licence check that you do not perform);
  • Contact riders for purposes other than the Event they booked, unless the rider separately opted in to marketing;
  • Circumvent the Platform Fee by directing in-platform enquiries off-platform for a booking that would otherwise go through in-app payment;
  • Impersonate another organizer, circuit, or federation.

12. Suspension & termination

We may suspend or terminate your Organizer status, with or without prior notice, if:

  • You materially breach these Organizer Terms or the DPA;
  • A supervisory authority or court order requires it;
  • Repeated rider complaints, Stripe disputes, or safety incidents indicate a serious risk to riders;
  • Your Stripe Connect account becomes restricted, unverified, or has payouts disabled for reasons unrelated to a temporary Stripe review.

On termination, upcoming Events are moved into an unpublished / delete-pending state; you remain responsible for rider refunds and for communicating with booked riders during the 7-day grace window before hard deletion.

13. Liability & indemnity

Your indemnity to Pistaclub. You indemnify, defend, and hold harmless Pistaclub, its officers, employees, and agents from and against any and all claims, actions, demands, losses, damages, fines, penalties, settlement amounts, and costs (including reasonable legal fees) arising out of or in connection with:

  • The operation of any Event, including rider injury, death, illness, or property damage;
  • Enforcement or non-enforcement of any waiver you published through the platform;
  • Any refund, chargeback, dispute, or non-payment related to a booking;
  • Any misuse of rider personal data by you or by anyone acting on your behalf;
  • Any claim that Organizer Content infringes a third party's rights;
  • Any failure by you to comply with applicable law, motorsport federation rules, venue rules, or your own published Event policies.

Our liability to you. To the extent permitted by law, Pistaclub's aggregate liability to you under or in connection with these Organizer Terms — whether in contract, tort (including negligence), or otherwise — is limited to the greater of (a) the total Platform Fees you have paid us in the 12 months preceding the event giving rise to the claim, or (b) EUR 100. This cap does not apply to liability for our own gross negligence, wilful misconduct, or death or personal injury caused by us. Nothing in these Organizer Terms limits any liability that cannot lawfully be limited or excluded.

14. Insurance requirement

You represent and warrant that you hold public liability insurance and, where the discipline or venue requires it, participant accident insurance sufficient to cover the Events you list on Pistaclub. On our written request, you must produce evidence of the policy — insurer name, policy number, coverage amounts, and expiry date — within 7 calendar days. We may suspend your ability to publish new Events until evidence is produced.

The operational workflow for uploading, storing, and re-verifying insurance evidence lives in the organizer dashboard (see "Insurance evidence" panel). We treat all insurance documents as confidential.

16. Plans and fees

(16.1) The platform is offered on a free plan and on a paid annual plan. The capabilities and limits of each plan are as published in the platform at the time of subscribing.

(16.2) Platform Fee. Where you collect payment from participants through the platform by card, we deduct a Platform Fee from the amount collected: 2.0% on the free plan and 0.5% on the paid plan, calculated on the gross amount of each transaction and deducted at the time of that transaction. This fee is in addition to the payment-processing fees charged to you by Stripe, which are a matter between you and Stripe. No Platform Fee applies to bookings you settle by bank transfer, because we do not process those funds.

(16.3) The rate applicable to a transaction is the rate in force when that transaction is completed, and is fixed at that moment. A later change of plan or rate does not alter a completed transaction.

(16.4) Prices are stated exclusive of VAT. Where you are a VAT-registered business established in an EU member state other than ours and you supply a VAT identification number that we can validate, the supply is reverse-charged and you account for VAT in your own state. If a VAT number is not supplied or cannot be validated, VAT is charged at the applicable rate.

(16.5) Annual term. The paid plan is billed annually in advance. It renews automatically unless cancelled before the end of the current term. Cancellation takes effect at the end of the term you have paid for; we do not refund the unused part of a term, except where required by law.

(16.6) If payment fails, we may retry it and will notify you. If it remains unpaid after the grace period shown in the platform, your organizer profile reverts to the free plan. Your existing content is not deleted and remains visible and editable; only new additions beyond the free plan's limits are restricted until you are within them or subscribe again.

(16.7) We may change plan prices, limits and the Platform Fee for future terms and future transactions, with reasonable notice. Changes never apply retroactively.

(16.8) Processing credits. Where your plan includes, or you purchase, prepaid credits for automated photograph processing, those credits are governed by the Organizer Credit Terms, which form part of these Organizer Terms.

17. Selling photographs through the platform

(17.1) You may offer event photographs for sale to participants. You are the seller and the merchant of record; we provide the platform and payment routing and deduct the Platform Fee in §16.2. The contract of sale is between you and the buyer.

(17.2) You warrant that you hold all rights necessary to sell each photograph you offer, including the photographer's rights (whether you took it, employ the photographer, or have a written assignment or licence permitting resale), and that you have any consent required from identifiable people in it under applicable law.

(17.3) You will indemnify us against claims, losses and reasonable costs arising from a breach of §17.2, from the content of a photograph you offered, or from your handling of a buyer's statutory rights.

(17.4) Takedown. You will remove a photograph promptly on a substantiated request from a person depicted in it. We may remove or withhold a photograph from sale at any time where we receive such a request, a rights complaint, or a legal notice. Where a photograph is removed after purchase, the buyer's rights under §17.5 are unaffected as to copies already delivered, and we may refund the buyer and recover the corresponding amount from you.

(17.5) What the buyer receives is set out in the Photo Licence, which forms part of each sale. You may not offer terms inconsistent with it.

(17.6) Minors. You must not offer for sale a photograph of a participant you know or ought reasonably to know is under 18 without the confirmation the platform requires for that participant.

(17.7) Consumer rights. Buyers are consumers. A digital download is supplied immediately with the buyer's acknowledgement that the statutory right of withdrawal is lost on delivery; you remain responsible for your own statutory obligations as seller, including in respect of a file that is not delivered or is not as described.

18. Retention of paid content

Where you delete or purge an Event, photographs that have been purchased, and the licences granted over them, are retained so that buyers keep the files they paid for, and the corresponding financial records are retained for the statutory recordkeeping period. Everything not purchased is deleted.

We may suspend paid capabilities or a sale where required by law, on a substantiated rights or safety complaint, on non-payment, or on reasonable suspicion of fraud — including creating multiple organizer profiles to obtain free-plan allowances repeatedly. Rider bookings already made are never cancelled by such a suspension.

20. Governing law & venue

These Organizer Terms are governed by the laws of the Czech Republic, without regard to conflict-of-laws principles. The courts of Prague, Czech Republic, have exclusive jurisdiction over any dispute arising out of or in connection with these Organizer Terms, subject to any consumer-protection or public-policy rules of your jurisdiction that mandatorily apply.

21. Amendments

We may amend these Organizer Terms from time to time. Material changes will be notified to you at least 30 days in advance via the organizer dashboard and email to your registered address. Continued use of the platform after the effective date constitutes acceptance. If you do not accept the change, you may terminate your Organizer status on written notice before the effective date; existing bookings remain in effect and you remain responsible for delivering the associated Events under the version of these Organizer Terms in effect when the booking was placed.

Note: These Organizer Terms are pending final legal review (Roadmap §2.6). Provisions that would benefit from jurisdiction-specific tailoring — in particular the liability cap in §13 and the indemnity scope — will be finalised at that stage. Substantive obligations are not expected to change; the review confirms enforceability in the Czech Republic and cross-border in the EU.
